  3.                 CORPORATE RESOLUTION FOR BORROWING 
  4.  
  5. A special meeting of the Board of Directors of Salty Dog Pretzels,
  6. Inc., was held on October 31, 1994, at Newport, Tennessee,
  7. pursuant to, and, upon a motion made regularly and in proper
  8. order, and seconded, the board of directors of Salty Dog Pretzels
  9. agreed: 
  10.  
  11. That the corporation shall borrow the original principal sum of $
  12. 200,000 ( two hundred thousand & no/100 dollars) from Merchants &
  13. Builders Bank bank, under such terms and conditions, including the
  14. pledging of collateral for the loan, and the opening or
  15. maintaining of deposit accounts, and such other terms as may be
  16. needful or required.

  18. That the promissory notes, and any other certifications of
  19. indebtedness as well as any other warranties, bonds, indentures,
  20. and other agreements which may be required by Merchants & Builders
  21. Bank, may be signed on behalf of the corporation by its President,
  22. Dwight Delaney.
